Terms and Conditions for Exhibitors
EXHIBITOR TERMS & CONDITIONS
These terms and conditions, along with the order form, constitute the agreement (“Agreement”) entered into by and between you, the “Exhibitor,” and Global Products Expo, hereinafter referred to as the “Organizer,” pertaining to the use of exhibition space (“Exhibit Room”) at the Global Products Expo event.
The Organizer retains the right, at its sole discretion, to approve or deny this Agreement and to establish additional terms and conditions as deemed necessary. If you are entering into this Agreement on behalf of a company or legal entity, you confirm your authorization to do so. This Agreement represents a legally binding contract between the Exhibitor and the Organizer.
1. CONDITIONS OF PARTICIPATION:
To participate in the Expo, the Exhibitor must sign and return this Agreement and adhere to all terms and conditions outlined herein. The Organizer possesses sole authority to determine the characteristics of the Exhibit, including the date, time, type of products and services to be displayed, fees, and deadlines. Any deviation by the Exhibitor from these requirements or any other significant provisions of this Agreement is strictly prohibited. The Exhibitor must accurately inform attendees about its products or services’ qualities, prices, sales conditions, and guarantees in an objective manner, without engaging in misleading advertising or unfair competition. The Organizer may require the Exhibitor to provide a detailed description of its business nature and the items intended for exhibition.
2. NOT A LEASE:
Both parties acknowledge that this Agreement does not constitute a lease and does not confer a leasehold or possessory interest in the Exhibit Room or the venue upon the Exhibitor. The Organizer retains the right to terminate the Exhibitor’s right to occupy and use the Exhibit Room as outlined in this Agreement.
3. EXHIBIT ROOM AND BOOTH PLACEMENT:
The Organizer will assign exhibition space to the Exhibitor at its sole discretion. Space assignments may be altered or revoked if the Exhibitor fails to meet payment deadlines or comply with this Agreement. The Organizer also reserves the right to relocate the Exhibitor within the Exhibit Room and will communicate such changes via the provided contact information. The Organizer does not assume responsibility for the Exhibitor’s goods, products, or fixtures before, during, or after the Expo. The Organizer determines the dates and hours for booth setup, dismantling, and occupation. Failure to establish the display or maintain booth operations as stipulated may result in space forfeiture, Agreement termination, and forfeiture of fees.
4. USE OF EXHIBIT ROOM:
The Exhibitor shall use the Exhibit Room solely for the purposes described in this Agreement. No part of the venue shall be obstructed or used for purposes other than ingress or egress. No interference with public utilities, fire safety equipment, heating, or air conditioning systems is permitted.
5. OPERATIONS AND MANAGEMENT OF VENUE AND EXHIBIT ROOM:
The Exhibitor agrees to comply with all policies, rules, and regulations established by the Organizer and the venue. The Organizer retains the right to enforce necessary rules for venue operation and management. Exhibitors must adhere to fire safety precautions, and all booths and materials are subject to fire safety inspections by appropriate officials.
6. FEES/REFUNDS:
The Exhibitor must make full payment of the Exhibit Fee as per the invoice and payment instructions within seven (7) days of the invoice date in U.S. currency, either through wire transfer or credit card. No cash payments will be accepted. Failure to meet payment deadlines results in the loss of the Exhibitor’s participation rights. Deposits used for multi-show discounts are non-refundable. Cancellation of this contract is subject to the following schedule:
- More than 90 days until the show: 100% refund.
- Within 90 days of the show: 50% refund.
- Within 60 days of the show: No refund.
- Any refunds due will be processed one week after the respective show’s completion. Outstanding balances must be paid in full 90 days before the show, authorizing the Organizer to release reserved space or sponsorships to other parties. All commitments, deposits, and fees related to multiple shows are non-refundable.
7. SUBLETTING PROHIBITED:
Subletting, sub-licensing, or sharing any portion of the designated Exhibit Room is prohibited unless expressly approved in writing by the Organizer.
8. COMPLIANCE WITH LAWS:
The Exhibitor agrees not to use the Exhibit Room or venue for unlawful purposes. Compliance with all applicable federal, state, and local laws, rules, ordinances, statutes, and regulations, including Hemp/CBD, smoking, and noise ordinances, is mandatory. The Exhibitor acknowledges that the Organizer does not provide legal advice regarding the current or future Applicable Regulations.
9. PROHIBITED ACTIONS:
The Exhibitor is prohibited from offering for sale any products that violate local, state, or federal laws. Distribution of prohibited products outside the Exhibit Room is not allowed. Any product used within the Exhibit Room must comply with all Applicable Regulations.
10. EJECTION OF DISORDERLY PERSONS:
The Organizer reserves the right to refuse entrance to or remove any individual whose conduct disrupts the event, violates the law, or is objectionable to the Organizer or venue management.
11. PARKING:
All vehicles must be driven and parked in designated areas as directed by authorized venue representatives.
12. ALTERATIONS & IMPROVEMENTS:
Permanent alterations, improvements, or installations that affect the Exhibit Room’s surfaces require prior written consent from the Organizer. Any alterations or improvements not removed by the Exhibitor at the Expo’s conclusion may be removed by the Organizer at the Exhibitor’s expense.
13. MATERIALS:
Signs may only be posted in approved areas. Precautions must be taken to avoid staining or damaging the flooring, and heavy items or equipment must be placed on protective matting. Loading and unloading must occur in designated zones. Items may not be placed on heating/air conditioning units, and no candles, glitter, or confetti can be used for decoration. The Exhibitor cannot operate venue equipment or materials without prior written approval from the Organizer.
14. LOST/STOLEN PROPERTY:
The Organizer and venue management are not responsible for any lost, stolen, or damaged items.
15. DAMAGES TO EXHIBIT ROOM:
The Exhibitor is liable for any damages to the Exhibit Room or venue resulting from the Exhibitor’s actions, including the installation or removal of alterations or improvements, regardless of permission.
16. TRASH REMOVAL:
The Exhibitor must remove all garbage, refuse, and property from the venue after the Expo’s conclusion. Failure to do so will result in property being deemed abandoned and removed at the Exhibitor’s expense.
17. INTELLECTUAL PROPERTY:
The Exhibitor must ensure that no copyrighted, patented, or other intellectual property-protected materials are used at the Expo without proper licensing. The Organizer holds a limited, non-exclusive license to use the Exhibitor’s intellectual property for Expo purposes.
18. PHOTO RELEASE:
The Exhibitor grants the Organizer the right to use photographs of the Exhibitor’s participation in the Expo for lawful purposes. These materials become the Organizer’s property and may be altered and edited without Exhibitor approval.
19. ADVERTISING:
Advertising, broadcasting, or recording any Expo activities or events without prior written consent from the Organizer is prohibited. Additional fees may apply if broadcasting or recording is approved.
20. SOLICITATIONS:
Solicitations, collections, or donations require prior written approval from the Organizer and may incur additional fees.
21. EXHIBIT START/END TIME:
Exhibitors must adhere to designated setup and teardown times. No materials may be stored at the venue more than 24 hours before or after the event. The Exhibitor must provide appropriate insurance, including coverage for product and service-related risks.
22. LATE CHARGES, PENALTIES, FEES, ETC:
The Exhibitor is responsible for taxes, late charges, and penalties related to the Exhibitor’s revenue unless otherwise required by law. The Organizer may collect sales or similar taxes on the Exhibit Fee if deemed necessary.
23. LIMITATION OF LIABILITY:
The Organizer shall not be liable to the Exhibitor for indirect, punitive, special, incidental, or consequential damages, including loss of goodwill or profits, regardless of any breach of contract, breach of warranty, violation of regulations, or tort. The Organizer’s warranties are solely those outlined in this Agreement and replace all other warranties, express or implied.
24. ASSUMPTION OF RISKS:
The Exhibitor assumes all risks associated with participation in the Expo, including theft, harm, damage, or injury to individuals, property, or business. This assumption of risk applies to acts of negligence, intentional acts, accidents, acts of God, or other causes.
25. INDEMNIFICATION:
The Exhibitor agrees to indemnify, defend, and hold harmless Global Products Expo, its partnered venues, and associated individuals from any claims, suits, judgments, damages, losses, and expenses (including attorney’s fees) arising from the Exhibitor’s breach of this Agreement or the use of the venue.
26. FORCE MAJEURE:
Neither Global Products Expo nor its partnered venues are liable for any losses, damages, or costs incurred by the Exhibitor due to circumstances beyond their control, including acts of God or changes in governmental regulations. The Exhibitor acknowledges that the cancellation of any part of the Expo due to such circumstances does not entitle them to claim against the Organizer.
27. INJUNCTIVE RELIEF:
If the Exhibitor fails to fulfill its obligations as outlined in this Agreement, the Organizer may seek injunctive relief, in addition to other remedies provided in this Agreement and applicable law, to compel performance.
By accepting the terms and conditions for participating in the exposition and actively taking part in the event, the Participant willingly relinquishes, exempts, and absolves Sponsor, including its executives, officers, proprietors, agents, staff, and employees, from any responsibility for, and agrees not to pursue any claims for, injuries, losses, or damages
